Terms and Conditions of the Referral Program

Operated by LanyGames, Inc.
1. Acceptance of Terms
By registering for and participating in the Lumithyon Referral Program (the "Program"), the affiliate agrees to comply fully with these Terms and Conditions.
For the purposes of these Terms, Lumithyon is a brand owned and operated by LanyGames, Inc., which manages and administers the Program.
If the affiliate does not agree, they must refrain from participating.
2. Eligibility
The Program is available exclusively to registered Lumithyon users. LanyGames, Inc. may accept, reject, or remove participants based on reasonable discretion and good-faith evaluation of Program eligibility, compliance, and risk.
3. Nature of the Referral Code
- The referral code or link is personal, non-transferable, and revocable.
- It does not constitute property of the affiliate.
- It does not create any employment, partnership, representation, or joint venture relationship with Lumithyon or LanyGames, Inc.
4. Commission Structure
4.1 Commission Rate. The affiliate will receive a 10% commission on each valid payment made by referred users.
4.2 Mandatory Conditions for Commission Eligibility. A commission will only be considered valid if all of the following conditions are met:
1. The referred user:
- Registers using the referral code correctly
- Completes a paid subscription
2. The payment:
- Is successfully processed
- Is legitimate and verifiable
- Is not fraudulent or disputed
- Is not refunded, either fully or partially
3. The referred account:
- Is unique, real, and verifiable
- Is not duplicated or directly/indirectly linked to the affiliate
4. The referral source:
- Does not originate from prohibited practices
- Has not been improperly incentivized
- Has not been generated through automation or manipulation
Failure to meet any of these conditions will automatically invalidate the commission.
4.3 Commission validation and payout timing. The 10% commission becomes payable only after the referred payment has cleared all risk periods: no refund, chargeback, dispute, or reversal applies to that payment.
Standard holding period: thirty (30) calendar days from the date Lumithyon receives the referred user’s successful payment.
Payable commissions are included in the next manual payout cycle after that period (for example, monthly), subject to Section 18 (minimum threshold).
Extended holding (up to sixty (60) or ninety (90) calendar days) applies only when specific risk triggers are present, such as: (a) an open payment dispute, chargeback, or refund request on the referred transaction; (b) medium- or high-risk fraud review under Section 16; (c) abnormal chargeback or reversal rates affecting the affiliate's referred conversions; or (d) regulatory or compliance review.
Lumithyon will notify the affiliate when an extended hold is applied and, where practicable, the general trigger category. Commissions are not held at the maximum period by default for affiliates in good standing.
5. Non-Commissionable Cases
No commissions will be generated in the following scenarios:
- Registrations without payment
- Free trials without conversion to paid subscriptions
- Refunded or canceled payments
- Fraudulent or suspicious transactions
- Chargebacks or disputes
- Direct or indirect self-referrals
- Multiple accounts created by the same user
- Traffic generated through bots or automation
- Unauthorized external incentives
- Low-quality or fraudulent traffic sources
6. Prohibited Practices
The affiliate agrees not to engage in:
6.1 Spam
- Unsolicited mass messaging
- Repetitive or intrusive posting
6.2 Misleading Advertising
- Unrealistic or exaggerated claims
- Use of phrases such as "easy money" or "guaranteed income"
- False or incomplete information
6.3 Lack of Transparency
- Failure to disclose referral links
- Concealing commercial intent
6.4 System Manipulation
- Creation of fake or duplicate accounts
- Artificial generation of conversions
- Metric manipulation
6.5 Abusive Automation
- Use of bots, scripts, or automated systems
6.6 Improper Incentives
- Offering money, rewards, or unauthorized benefits
6.7 Impersonation
- Pretending to be Lumithyon, LanyGames, Inc., employees, or third parties
6.8 Brand Misuse
- Associating Lumithyon with illegal, offensive, or harmful content
7. Publication Guidelines
Affiliates must:
- Prioritize content based on real experience
- Provide value before sharing referral links
- Clearly disclose referral relationships
- Adapt messaging to their audience
- Avoid excessive repetition or spam
- Use honest, non-coercive language
Lumithyon may provide suggestions, templates, or communication guidelines. These are optional and non-binding; the affiliate remains fully responsible for their content.
8. Commission Validation
All commissions are subject to internal validation processes conducted by Lumithyon and/or LanyGames, Inc.
Lumithyon reserves the right to:
- Temporarily hold commissions
- Review suspicious activity
- Cancel invalid commissions
9. Right of Revocation
Lumithyon, and/or LanyGames, Inc., may at any time and without prior notice:
- Revoke or deactivate any referral code
- Suspend or terminate the affiliate account
- Withhold or cancel pending commissions
This includes, but is not limited to:
- Violation of these Terms
- Suspicious or fraudulent activity
- Reputational risk to the brand
10. Monitoring and Audit
Lumithyon and/or LanyGames, Inc. reserve the right to monitor all Program-related activity, including traffic sources, conversions, and affiliate behavior.
11. Modifications
Lumithyon, as a brand operated by LanyGames, Inc., may modify these Terms at any time. Continued participation in the Program constitutes acceptance of such modifications.
12. Limitation of Liability
Lumithyon and LanyGames, Inc. do not guarantee income or financial results. The affiliate acknowledges that any expectation of earnings is at their own risk.
13. Final Interpretation
The interpretation and enforcement of these Terms shall be determined by Lumithyon and/or LanyGames, Inc., acting in reasonable discretion and in accordance with these Terms and applicable law.
14. Contact
For any inquiries related to the Program, affiliates must use Lumithyon's official communication channels or contact lanygamesinc@lanygames.com.
15. Attribution Model
Referral attribution will be determined under a last-click attribution model, meaning the most recent valid referral interaction prior to conversion will be credited.
Lumithyon may use tracking mechanisms including, but not limited to, cookies or server-side tracking. Attribution is subject to technical limitations.
Referral tracking validity may be limited to a defined attribution window (typically thirty (30) to ninety (90) days), as published in Program materials or the affiliate dashboard. Lumithyon will apply such windows consistently and in good faith.
Lumithyon is not responsible for lost or untracked referrals due to:
- Cookie deletion
- Device changes
- Browser restrictions
- Technical failures
16. Advanced Self-Referral and Fraud Detection
In addition to direct self-referrals, Lumithyon may review commissions where indirect self-referral or coordinated activity is suspected.
Risk signals may include, without limitation: matching IP addresses, shared payment methods, device or browser signals, behavioral similarities, or coordinated account patterns. A single signal alone does not automatically establish abuse.
Lumithyon classifies reviews as low, medium, or high risk:
- Low risk: minor or explainable matches (e.g., household or workplace IP). Commissions are generally not withheld solely on low-risk signals.
- Medium risk: multiple overlapping signals. Lumithyon may delay payout under Section 4.3 while conducting review.
- High risk: strong evidence of self-referral, collusion, or intentional circumvention. Commissions may be withheld or canceled after good-faith review.
Before canceling a commission based on fraud review, Lumithyon will, where practicable, notify the affiliate of the concern and allow a response window of at least seven (7) calendar days, except for clear high-risk abuse or legal obligations.
17. Tax Responsibilities
Affiliates are solely responsible for complying with all applicable tax laws and regulations in their jurisdiction.
Lumithyon and/or LanyGames, Inc. may:
- Request tax documentation
- Withhold payments until proper documentation is provided
- Report payments where legally required
18. Minimum Payout Threshold
Commissions are paid only when the affiliate’s validated, payable balance reaches a minimum of USD $50.00 (fifty US dollars), unless Lumithyon publishes a different amount in the affiliate dashboard or official program notice.
Commissions below this threshold remain accrued and do not expire while the affiliate remains in good standing. Lumithyon may round amounts to two decimal places in USD.
19. Payment Methods and Fees
Payouts are processed manually on a periodic basis (for example, monthly) after the holding period in Section 4.3. Lumithyon is not obligated to process partial payouts below the threshold.
Affiliates are responsible for:
- Any transaction fees
- Currency conversion costs
- Payment processing charges
20. Inactivity
Lumithyon reserves the right to deactivate affiliate accounts that remain inactive for an extended period.
"Inactive" may include lack of:
- Referrals
- Engagement
- Account activity
Any associated referral codes may be revoked.
21. Restricted Keywords and Brand Usage in Paid Advertising
Affiliates may not:
- Bid on Lumithyon brand keywords in paid advertising
- Use Lumithyon trademarks in domain names
- Create misleading brand associations
This includes variations, misspellings, or deceptive representations.
22. Affiliate Content Liability
Affiliates are solely responsible for all content they publish.
Lumithyon and LanyGames, Inc. are not responsible for:
- Claims made by affiliates
- Misleading promotions
- Legal consequences arising from affiliate actions
23. Indemnification
The affiliate agrees to indemnify, defend, and hold harmless Lumithyon and LanyGames, Inc. from any claims, damages, liabilities, or expenses arising from:
- Breach of these Terms
- Misconduct or unlawful activity
- Third-party claims related to affiliate actions
24. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws determined by LanyGames, Inc.
Any disputes shall be resolved exclusively in the applicable jurisdiction designated by LanyGames, Inc.
25. Program Modification or Termination
Lumithyon reserves the right to:
- Modify
- Suspend
- Terminate the Program at any time
In such cases:
- Valid commissions may be honored at Lumithyon's discretion
- Invalid or suspicious commissions may be withheld
26. Technical Limitations and Errors
Lumithyon does not guarantee uninterrupted or error-free tracking.
Lumithyon reserves the right to:
- Correct calculation errors
- Adjust commissions affected by technical issues
- Recalculate payouts where necessary
27. Traffic Quality and Arbitrage
Affiliates must provide genuine, value-driven traffic.
The following are prohibited:
- Traffic arbitrage without added value
- Misleading funnels
- Low-quality or deceptive landing pages
Lumithyon may invalidate any traffic deemed low quality or non-compliant.
28. Discretionary Interpretation
Lumithyon interprets and enforces these Terms in reasonable discretion and good faith.
Material determinations regarding abuse, fraud, or violations will be based on documented risk signals and Program policies, not arbitrary preference.
29. Blacklisting
Lumithyon may restrict or block specific affiliates, traffic sources, domains, or platforms that pose legal, security, fraud, or reputational risk.
Where practicable, Lumithyon will provide email notice to the affiliate before or promptly after a restriction, including a general reason category (for example: fraud risk, policy violation, traffic quality, or brand misuse). Lumithyon is not required to disclose proprietary detection methods or full investigative detail.
Affiliates may submit a written inquiry through official channels to request clarification or reconsideration within fifteen (15) calendar days of notice.
30. Data Privacy and Protection
30.1 Data Controller. LanyGames, Inc., as the legal operator of the Lumithyon brand, acts as the data controller for all personal information collected in connection with the Program.
30.2 Data Collected. In connection with the Program and affiliate activity, Lumithyon collects and processes the following personal data:
- Full name
- Email address
- Subscription plan
- In-application activity and usage data
30.3 Purpose of Processing. The data collected is used exclusively for the following purposes:
- Operation and administration of the Referral Program
- Commission calculation, validation, and payment processing
- Fraud detection and prevention
- Improvement of the Lumithyon application and its services
- Compliance with applicable legal and regulatory obligations
Lumithyon does not sell, rent, or commercialize affiliate personal data to third parties.
30.4 Data Processors and Technical Infrastructure. Lumithyon uses the following third-party services to process and store data on behalf of LanyGames, Inc.:
- Amazon Web Services (AWS), through AWS Amplify and Amazon Cognito, for authentication, user management, and application infrastructure
These providers act as data processors under contractual agreements and are bound by confidentiality and security obligations. Data may be stored on servers located outside of Mexico.
30.5 Applicable Law. The collection and processing of personal data is governed by the Ley Federal de Proteccion de Datos Personales en Posesion de los Particulares (LFPDPPP), its Regulations, the Lineamientos del Aviso de Privacidad, and any other applicable data protection laws in Mexico.
30.6 ARCO Rights. In accordance with Mexican law, affiliates have the following rights regarding their personal data:
- Access: Request confirmation of whether their data is being processed and obtain a copy
- Rectification: Request correction of inaccurate or incomplete data
- Cancellation: Request deletion of their data, subject to legal retention obligations
- Opposition: Object to the processing of their data for specific purposes
To exercise any of these rights, affiliates must submit a written request through Lumithyon's official communication channels, identifying themselves and describing the right they wish to exercise. Lumithyon will respond within the timeframe established by applicable law.
30.7 Data Retention. Personal data will be retained for as long as the affiliate account is active and for a reasonable period thereafter, as required by applicable law, auditing processes, or to resolve pending disputes or claims.
30.8 Data Security. Lumithyon implements reasonable administrative, technical, and physical security measures to protect personal data against unauthorized access, loss, or alteration. However, no system guarantees absolute security, and Lumithyon cannot be held responsible for breaches caused by factors beyond its reasonable control.
31. Permitted Brand and Logo Usage
31.1 Limited License Grant. Subject to full compliance with these Terms, Lumithyon grants affiliates a limited, non-exclusive, non-transferable, and revocable license to display the official Lumithyon logo and brand name solely for the purpose of promoting the Lumithyon product as part of the Referral Program.
31.2 Permitted Uses. The Lumithyon logo and brand name may be used exclusively in the following contexts, provided that clear and accurate attribution is included in all cases:
- Videos: The logo may be displayed on screen or included in video content, provided the content includes a clear attribution to Lumithyon as the product or brand being referenced. Attribution may be delivered through visible on-screen text or verbal mention (voice-over) at any point in the video. Both formats are acceptable.
- Online forums and community platforms: The logo may be included in posts, threads, or comments, provided the content includes a written reference identifying Lumithyon as the product or brand, and the affiliate relationship is disclosed.
- Informational and educational materials: The logo may be used in documents, guides, articles, blog posts, downloadable files, or similar materials that provide genuine informational value, provided the content includes a written statement identifying Lumithyon as the owner or provider of the referenced product.
31.3 Attribution Requirements. In all permitted uses, the affiliate must:
- Identify Lumithyon clearly as the owner or provider of the product, through on-screen text, written mention, or verbal acknowledgment
- Not create any impression that the content is officially produced, sponsored, or endorsed by Lumithyon or LanyGames, Inc., unless expressly authorized in writing
- Display the logo in a manner consistent with its original proportions, colors, and design, without distortion or alteration
31.4 Prohibited Uses. The following uses are strictly prohibited without prior written authorization from Lumithyon:
- Altering, modifying, distorting, cropping, recoloring, or animating the Lumithyon logo in any way
- Using the logo in a manner that implies an official partnership, sponsorship, or endorsement not expressly granted under these Terms
- Placing the logo on platforms, channels, or content categories that are prohibited under these Terms (see Section 37)
- Using the logo in contexts involving illegal, offensive, discriminatory, adult, or harmful content
- Incorporating the logo as part of a domain name, application name, or social media account handle
31.5 Revocability. This license is revocable at Lumithyon's reasonable discretion. Where practicable, Lumithyon will provide notice before revocation except where immediate action is required for legal, security, or brand-protection reasons.
32. Clawback Policy
If a commission has already been disbursed and the underlying transaction is later reversed due to refund, chargeback, payment dispute, or confirmed fraud, Lumithyon may recover the related commission as follows:
- Standard reversals (refund, chargeback, dispute): clawback applies for up to twelve (12) months from the original payment date.
- Confirmed fraud or intentional abuse: clawback may apply without the twelve-month limit, subject to documentation and good-faith review.
Recovery methods may include:
- Offset against future payouts
- Negative balance adjustment against future earnings
- Written request for return where no future earnings exist
Clawback will not apply to amounts disputed solely on subjective traffic-quality grounds without payment reversal or confirmed policy violation.
Affiliates should treat disbursed commissions as provisional until the standard holding period in Section 4.3 has passed and no reversal has occurred.
33. Voluntary Termination by Affiliate
33.1 How to Exit. An affiliate may voluntarily withdraw from the Program at any time by submitting a written notice through Lumithyon's official communication channels.
33.2 Effect of Termination. Upon voluntary termination:
- The referral code will be deactivated immediately or within a reasonable period following receipt of the notice
- Pending commissions will remain subject to the full validation and holding period described in Section 4.3
- Commissions that have not reached the minimum payout threshold at the time of termination may be forfeited
- Access to any affiliate dashboard or reporting tools may be removed
33.3 Data upon Termination. Following termination, personal data will be retained in accordance with Section 30.7 and applicable legal requirements. The affiliate retains the right to exercise their ARCO rights as described in Section 30.6.
34. Internal Dispute Resolution
34.1 Raising a Dispute. If an affiliate believes a commission has been incorrectly canceled, withheld, or calculated, they may raise a formal dispute by:
- Submitting a written request through Lumithyon's official communication channels
- Including their affiliate account information, the specific transaction or commission in question, and the reason for the dispute
- Submitting the request within thirty (30) calendar days of receiving notification of the commission decision
Disputes submitted after this period will not be considered.
34.2 Review Process. Upon receipt of a valid dispute, Lumithyon will:
- Acknowledge receipt of the request
- Conduct an internal review of the transaction and associated data
- Provide a written determination within fifteen (15) business days of acknowledgment
34.3 Internal finality and limited escalation. Lumithyon's written determination after the internal review in Section 34.2 is final with respect to the internal process.
If the affiliate disagrees, they may request one (1) escalation review within ten (10) calendar days of the determination, providing new material information not previously considered. Lumithyon will respond within fifteen (15) business days.
Nothing in this Section prevents the affiliate from pursuing remedies available under applicable law after internal review and escalation are completed.
35. Age Requirement
Participation in the Referral Program is available exclusively to individuals who are 18 years of age or older, or the minimum legal age of majority in their applicable jurisdiction, whichever is greater.
By registering for or participating in the Program, the affiliate represents and warrants that they meet this age requirement. Lumithyon reserves the right to request proof of age and to suspend or terminate any account where this condition is not satisfied.
36. Geographic Restrictions
The availability of the Referral Program may be limited to certain regions or countries at Lumithyon's reasonable discretion. Lumithyon reserves the right to restrict, suspend, or terminate affiliate access based on geographic location, including due to:
- Regulatory or legal restrictions applicable in certain jurisdictions
- Inability to process payments in specific regions
- Reputational or operational concerns in specific markets
Affiliates are solely responsible for ensuring that their participation in the Program complies with all applicable local laws, regulations, and tax obligations in their jurisdiction. Lumithyon bears no responsibility for an affiliate's failure to comply with local law.
37. Prohibited Platforms and Channels
Affiliates may not publish, share, or associate their referral codes or links with content distributed on or through any of the following types of platforms or channels:
- Adult, pornographic, or sexually explicit content platforms
- Online gambling, sports betting, or casino-type platforms
- Sites promoting illegal products, services, or activities
- Piracy, copyright-infringing, or unauthorized content distribution networks
- Platforms promoting hate speech, discrimination, or violence
- Content directed at or primarily consumed by minors under the age of 13
- Platforms or sites known to distribute malware, viruses, or engage in phishing
- Platforms associated with political extremism or organized disinformation campaigns
Promotion through any of the above may result in immediate commission invalidation and account termination under Section 9, without prejudice to any other action Lumithyon may take.
38. Confidentiality
Affiliates acknowledge that certain information shared in connection with the Program may constitute confidential information of Lumithyon and/or LanyGames, Inc., including but not limited to: specific commission rates and terms, validation and fraud detection methodologies, internal communications, and operational details of the Program.
Affiliates agree not to:
- Disclose specific commission rates or program financial terms to third parties
- Share or republish internal communications received from Lumithyon or LanyGames, Inc.
- Publicize or distribute information regarding the Program's fraud detection, tracking, or validation methods
This confidentiality obligation survives the termination of the affiliate's participation in the Program.
39. Sub-Affiliate Programs
The Lumithyon Referral Program operates exclusively on a single-tier basis. Affiliates are not permitted to:
- Recruit or enroll other individuals into the Program on behalf of Lumithyon
- Establish or promote sub-affiliate networks or referral chains
- Offer commissions, rewards, or any form of compensation to third parties for generating referrals on the affiliate's behalf
- Engage in any multi-level, pyramid-style, or layered affiliate activities
Any affiliate found to be engaging in sub-affiliate or multi-level promotion may have their account suspended and all associated commissions invalidated without prior notice.
40. Regulatory Disclosure Requirements
40.1 General Obligation. Affiliates are required to clearly and prominently disclose their participation in the Lumithyon Referral Program in all promotional content. This disclosure must appear before or adjacent to any referral link and must be easily identifiable by the audience, without requiring the reader or viewer to search for it.
Acceptable disclosure language includes, but is not limited to:
- "This content contains a referral link. I may earn a commission if you subscribe through my link."
- "Affiliate disclosure: I participate in the Lumithyon Referral Program."
- A label such as "[Lumithyon affiliate link]" clearly placed adjacent to the link
40.2 Platform-Specific Disclosure Requirements. In addition to the general obligation above, affiliates must comply with the disclosure requirements of each platform where content is published, including but not limited to:
- YouTube: A verbal disclosure in the video itself and a written disclosure in the video description, placed near the referral link
- Instagram and TikTok: Use of platform-native disclosure features (e.g., "Paid partnership" label) and/or disclosure hashtags such as #ad, #publicidad, or #affiliate
- Written content (blogs, articles, forums): A disclosure statement placed at the beginning of the content, before the first referral link appears
- Email campaigns: A clear and visible disclosure statement in the email body, prior to any referral link
- Podcasts: A verbal disclosure at the beginning or end of each episode in which a referral link is mentioned
40.3 Applicable Regulations. Affiliates operating in Mexico must additionally comply with the Ley Federal de Proteccion al Consumidor (LFPC) and any applicable guidelines issued by the Procuraduria Federal del Consumidor (PROFECO) regarding commercial communications and the disclosure of financial interests.
Failure to comply with disclosure requirements may result in commission invalidation and account suspension under Section 9, independently of any legal consequences the affiliate may face under applicable local regulations.
41. Social Media and Platform-Specific Guidelines
In addition to the general publication guidelines in Section 7 and the disclosure obligations in Section 40, affiliates must observe the following when promoting on specific platforms:
- YouTube: Referral links must be placed in the video description with a clear label. If the video is primarily promotional, it must comply with YouTube's own monetization and disclosure policies. A verbal or on-screen text disclosure within the video is required.
- Instagram: Referral links may be shared in bios, story links, or posts. All content must include an appropriate disclosure label or hashtag as specified in Section 40.
- TikTok: Disclosure must appear both within the video (verbally or as on-screen text) and in the post caption.
- X (formerly Twitter): Disclosure must be included directly in the post text, not only on a linked external page.
- Facebook and other social networks: Affiliates must follow the platform's own commercial content policies and include a clear written disclosure in the post body.
- Podcasts: A verbal disclosure must be included at the beginning and/or end of any episode in which a referral link is mentioned or shared.
Affiliates are solely responsible for staying informed of and complying with each platform's current terms of service and disclosure requirements. Lumithyon bears no liability for violations of third-party platform policies committed by affiliates.
42. Competitive Restrictions
Affiliates are permitted to simultaneously promote products or services from other companies. However, affiliates agree not to:
- Create content that directly or indirectly compares Lumithyon to a competitor in a false, misleading, or disparaging manner
- Use Lumithyon's brand, name, or logo in direct comparative advertising without prior written authorization
- Promote competing products within the same content piece in a manner that creates confusion or undermines the value of Lumithyon
Lumithyon reserves the right to terminate the affiliate relationship if competitive promotional activities are deemed harmful to the brand's reputation, user trust, or business interests.
43. Force Majeure
Lumithyon and LanyGames, Inc. shall not be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from circumstances beyond their reasonable control, including but not limited to:
- Natural disasters, fires, floods, earthquakes, or other acts of God
- War, civil unrest, terrorism, strikes, or government actions
- Internet outages, telecommunications failures, or cybersecurity incidents affecting infrastructure providers
- Regulatory changes that materially impact the operation of the Program
In the event of a force majeure, Lumithyon will make commercially reasonable efforts to notify affiliates and resume Program operations as soon as practicable.
44. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority of applicable jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms entirely if modification is not possible. The remaining provisions shall continue in full force and effect.
45. Entire Agreement
These Terms, together with any applicable policies, guidelines, or notices published by Lumithyon in connection with the Program, constitute the entire agreement between the affiliate and LanyGames, Inc. with respect to the Referral Program. They supersede all prior or contemporaneous agreements, representations, warranties, or understandings, whether written or oral, relating to the same subject matter.
